To quickly react to the changing management environment and make timely management decisions, we have an effective management system in place.
First, we hold Management Review Board meetings as necessary to deliberate important management issues. This Board is the Company’s consultation organ composed of directors and statutory auditors.The Board of Directors can make timely decisions through the aid of the Management Review Board, which can also consider items not requiring Board of Director resolutions, allowing directors to share related information and for proper coordination to be arranged among the departments concerned.
To further reinforce the Board of Directors’ function to manage and supervise the Company’s operations, we have an external director on the Board of Directors. The external director is expected to join management decisions from a neutral and independent standpoint.
In June, 2004, we introduced the Executive Officer System to strengthen corporate governance and management efficiency by separating company management from business operations. Effective June 29, 2005, we also introduced the Chief Officer System, which is designed to clarify directors’ authorities and responsibilities and facilitate speedy management decisions. Given the above, we will work hard to reinforce the operating structure more than ever and boost operating efficiency.
To ensure the transparency of management, the Nomination Committee is in place, and serves as an advisory body to the Board of Directors. This Committee is responsible for selecting director and executive officer candidates, assessing performance of directors and executive officers in office, and preparing director and executive officer compensation plans for the Board of Directors. |

| Establishment of Compliance Committee |

| To perform social responsibilities required for an entity, we established the Compliance Committee on April 1, 2004. The Committee is involved in educating employees with a well-planned compliance awareness program, and tries to enhance and pursue business ethics based on relevant laws and ordinances, code of conduct and social standards. |

| At Noritsu Koki, where the management philosophy
is development and management putting the customer first, we are
making active social contributions in a number of fields including
the natural environment, social welfare, education, the arts and
culture. Above all, through participation in activities of the local
community, we play a major role in activating it. Noritsu will continue
to be united in making such active social contributions.

Receipt of Grand Prize for Industry Contributing to Activating the Local Community
An annual award is given to the industry that has contributed
the most to activating the local community. In 1998, Noritsu
Koki received the Award of the Director - General of the National
Land Agency and the Nihon Keizai Shinbun President's Prize
as a company that has brought greater activity and a breath
of fresh air into the local economy and society through its
superior independent technology and ideas.

| Cooperation and participation in local events

From April
29 to September 19, 1999, cosponsored the Exhibition for experiencing
Southern Kii and Kumano held in the Kumano district of the
southern Kii Peninsula, Wakayama Prefecture. |

Cosponsors and participates
in the Commerce and Industry Festival held by the Wakayama
Chamber of Commerce and Industry in May every year. Participates
in some of the specific events including the Waka Festival
Jidai Gyoretsu (historical parade) and Omikoshi (portable
shrine). |

Noritsu's employees participate
as volunteers in the massive cleanup by 10,000 people held
every year, centered around Wakayama Castle. |

Cosponsors the cleanup of
stone walls of Wakayama Castle held every summer by the Wakayama
City Society for Cooperation with the Self-Defense Force. |

The company also participates
actively in summer festivals and other events of local shrines,
local governments and children's societies. |

Noritsu
accepts as interns, students from local high schools who have
been selected under a program of the Ministry of Education
to promote the contact of high schools with local communities. |

As one part of the company's participation in community activities, Noritsu has sponsored a program to give parents and children a chance to try photographic printing. A QSS is used to make the prints. |

The Head Factory grounds are made available for the use of local little leagues and other organizations. |

In 1996, donated a high performance ambulance to Wakayama City in commemoration of 45 years after the company's founding. |

Donated a high performance ambulance to the Japanese Red Cross Wakayama Medical Treatment Center in 2000 as part of the events marking 50 years since the company's founding. |
